1. Agreement to Terms
By accessing sageic.com or engaging SAGE IC's services, you agree to be bound by these Terms & Conditions. If you do not agree, please do not use our website or services.
2. About SAGE IC
SAGE IC is an AI transformation consultancy that designs and implements custom AI-powered automation systems for small and medium businesses. We are incorporated in Ontario, Canada as 16529704 Canada Inc., operating under the trade name SAGE IC.
3. Services
SAGE IC provides AI consulting, automation system design, and implementation services as outlined in individual client proposals and engagement agreements. The specific scope, deliverables, timeline, and investment for each engagement are defined in a separate written agreement between SAGE IC and the client.
These Terms & Conditions apply to all engagements unless superseded by a signed client agreement.
4. Payment Terms
- All fees are quoted in Canadian dollars (CAD) unless otherwise stated
- A deposit is required before work commences, as specified in your engagement agreement
- Invoices are due within 14 days of issue unless otherwise agreed in writing
- Late payments may be subject to interest at 1.5% per month
- All fees are non-refundable once work has commenced, except as otherwise agreed in writing
5. Intellectual Property
Work product: Upon receipt of full payment, clients own all custom systems, automations, and deliverables built specifically for them under an engagement.
Pre-existing materials: SAGE IC retains ownership of all proprietary methodologies, frameworks, templates, and tools that existed prior to, or were developed independently of, a client engagement.
Website content: All content on sageic.com — including text, graphics, and branding — is the property of SAGE IC and may not be reproduced without written permission.
6. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during an engagement. SAGE IC will not disclose client business information to third parties without consent, except as required to deliver the agreed services or by law.
7. Client Responsibilities
Clients agree to:
- Provide timely access to systems, tools, and information required to complete the engagement
- Designate a point of contact for communication and approvals
- Review and provide feedback on deliverables within agreed timeframes
Delays caused by the client's failure to meet these responsibilities may affect timelines and are not the liability of SAGE IC.
8. Limitation of Liability
To the maximum extent permitted by law:
- SAGE IC's total liability for any claim shall not exceed the fees paid by the client in the three months preceding the claim
- SAGE IC is not liable for indirect, incidental, or consequential damages, including lost revenue or data loss
- SAGE IC does not guarantee specific business outcomes or revenue results from the systems we build
9. Warranties and Disclaimers
SAGE IC warrants that services will be performed with reasonable care and skill. We do not warrant that systems will be error-free or uninterrupted. The website and its content are provided "as is" without warranties of any kind.
10. Termination
Either party may terminate an engagement with 14 days' written notice. Upon termination, the client is responsible for fees for work completed to the termination date, and SAGE IC will deliver all completed work product for which payment has been received. Confidentiality obligations survive termination.
11. Governing Law
These Terms & Conditions are governed by the laws of the Province of Ontario and the federal laws of Canada. Any disputes shall be resolved in the courts of Ontario.
12. Changes to These Terms
We reserve the right to update these Terms & Conditions. Changes will be posted on this page with an updated date. Continued use of our website or services after changes constitutes acceptance of the updated terms.
